Terms of Service

1. Acceptance of Terms

By accessing, browsing, requesting access to, or utilizing xpScribe (accessible via https://xpscribe.com and affiliated subdomains, hereinafter referred to as the “Service” or “xpScribe”), you enter into a binding legal agreement governed by these Terms of Service (“Terms”). If you are using the Service on behalf of an enterprise or entity, you represent and warrant that you possess the authority to bind that entity to these Terms.

If you disagree with any portion of these Terms, you must discontinue access to the Service immediately.

2. Description of Service & Private Beta

xpScribe provides an executive personal expertise platform that transforms unstructured audio recordings, conversational check-ins, and written inputs into structured knowledge models (“Expertise Brain”) and native multi-channel distribution drafts (including LinkedIn posts, 60-second video teleprompter scripts, and executive outlines).

The Service is currently offered in Private Beta. We reserve the right to introduce feature modifications, perform scheduled maintenance, adjust rate limits, and approve or decline account requests to maintain platform reliability and audio processing quality.

3. Account Registration & Approval Process

To access xpScribe, users must submit an application for early access and receive an authorized invitation token. You agree to provide accurate, current, and verifiable information during onboarding. You are responsible for safeguarding your login credentials and invite tokens. xpScribe is not liable for unauthorized account access resulting from compromised user credentials.

4. Intellectual Property & Absolute Customer Ownership

Your Input Data: You retain sole and exclusive ownership of all audio recordings, voice transcripts, corporate documents, frameworks, and raw insights submitted to xpScribe (“Customer Content”).

Generated Outputs: As between you and xpScribe, you own all rights, title, and interest in and to the content atoms, structured principles, social posts, and video scripts generated from your Customer Content.

Limited Service License: You grant xpScribe a strictly limited, non-exclusive license to process, transcribe, and analyze your Customer Content solely to provide the Service to you and strictly in accordance with your configured privacy settings (including our Hard Privacy Gate rules: “Public”, “Anonymous”, and “Private / Never Publish”).

No Foundation Model Training: Under no circumstances will your Customer Content or raw voice files be sold, leased, or used to train public foundation AI models (such as third-party frontier language models).

5. AI Technology & Editorial Responsibility

xpScribe utilizes advanced speech-to-text transcription and machine learning models to synthesize insights and draft native content. You acknowledge that generative AI technologies may occasionally produce unintended formatting, inaccuracies, or interpretations.

All generated outputs are intended as practitioner drafts. You retain full editorial discretion, responsibility, and legal accountability for reviewing, modifying, and approving any content prior to publishing it to public channels or internal distribution.

6. Acceptable Use Policy

When using xpScribe, you agree not to:

• Upload audio recordings recorded without the knowledge or necessary consent of third-party participants where required by law.
• Circumvent, breach, or disable the authentication systems, invite tokens, or security gates of the Service.
• Reverse engineer, decompile, or extract the underlying software, prompt architectures, or algorithmic pipelines of xpScribe.
• Transmit any content that infringes on third-party intellectual property, violates trade secret protections, or contains malicious code.
• Use automated scripts or scrapers to overwhelm xpScribe infrastructure without prior written authorization.

7. Fees, Subscriptions, and Cancellation

During the initial private beta, select access tiers may be provided complimentary or under grandfathered beta pricing. If you subscribe to a paid tier, fees will be billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time via your account settings; cancellation takes effect at the end of the current billing cycle.

8. Warranty Disclaimer & Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XPSCRIVE, ITS FOUNDERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION) ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

9. Data Export & Account Termination

You may request complete export of your Expertise Brain and deletion of your account at any time. Upon verified request, xpScribe will purge your stored voice transcripts, extracted content atoms, and credentials from our active database systems within thirty (30) days, subject to legally required retention obligations.
